Barbara Potts is Senior Counsel in Griesing Law, LLC’s Corporate Transactions & Compliance practice group.

What do you focus on?

My practice focuses primarily on representing clients in transactional matters including public and private finance; contracts and procurement; real estate development and finance; and structuring and negotiating public/private joint ventures.

What do you see on the horizon?

The new presidential administration’s push to slash corporate and individual income-tax rates could appear to adversely affect the municipal-bond market which has been a haven for high income individuals seeking interest income that’s exempt from federal taxes. However, the administration’s proposed tax cut in the top-rate — from 39.6 percent to 35 percent – will probably not quell the interest in tax exempt bonds, particularly if state income taxes rise. High income individuals will be looking to minimize taxes and municipal bonds will continue to be attractive to those taxpayers.

Biography

Barbara has over thirty years of experience as an attorney in both the public and private sectors. As a partner in the Financial Services – Real Estate Department of a top tier law firm from 2000 to 2010, Barbara Potts concentrated her practice in transactional matters including real estate development and construction; and public and private finance. She advised clients with respect to all aspects of construction and development including insurance, performance and payment bonds, change orders, contract amendments and bid protests and disputes.  She also represented an international investment bank in connection with design, construction and maintenance agreements for facilities located in the United States, Canada, India, Brazil and Mexico; and other corporate, institutional, individual and public owners; developers; public/private joint ventures; lenders; prime and trade contractors; and design professionals in all aspects of complex real estate development; construction; design contracts; and financing.

Barbara Potts also served as outside general counsel for a municipal waste hauling company and provided counsel with respect to: equipment financing and leasing; procurement and contract matters; regulatory matters; and labor and employment issues.  As an attorney in private practice, Ms. Potts also served as outside counsel to the United States Department of Housing and Urban Development (“HUD”) in connection with the sale by public auction of FHA-insured single family, multifamily and nursing home mortgage loans.

In 2010, Ms. Potts was appointed to the position of Deputy Regional Counsel for Region III of HUD. As Deputy Regional Counsel, she provided legal counsel to the Regional Administrator, Field Office Directors and program directors within HUD’s Region III and supervised attorneys that handle HUD program issues, litigation and employment and labor relations issues. In 2013, prior to joining Griesing Law, Ms. Potts accepted a detail to HUD’s headquarters in Washington, D.C. to provide specialized legal expertise on the variety of complex issues related to the administration of FHA health care loan insurance programs.

In addition to her governmental experience with HUD, Ms. Potts also served as First Deputy City Solicitor in the Law Department of the City of Philadelphia. As First Deputy, Ms. Potts was counsel to former Mayor W. Wilson Goode and City Council for eight years. She provided legal counsel to the Mayor and cabinet level officials on bond issues and other public financings as well as City-funded construction and economic development projects including the financing and construction of the Pennsylvania Convention Center, Philadelphia International Airport, water and gas utilities, port facilities and other public works projects. She also served on the City’s Board of Pensions and Retirement. Finally, Ms. Potts’ governmental experience also includes serving as Real Estate Section Chief for the Federal Deposit Insurance Corporation (“FDIC”) in Atlanta, Georgia from 1991 to 1993. As Real Estate Section Chief, Ms. Potts supervised attorneys, paralegals and support staff and advised senior FDIC officials on: corporate governance issues for subsidiaries of failed financial institutions; the sale of real property by auction; and the sale of secured and unsecured loans.
